DocuCentre Terms of Use

1. Definition of "Company" For the purposes of these terms and conditions, "Company" refers to Dreamscape Ventures, LLC, all associated subsidiaries, affiliates, third-party links or partners, stakeholders, members, and any individuals or entities that may be associated with or act on behalf of Dreamscape Ventures, LLC.
2. Introduction Welcome to the DocuCentre of the Company. By accessing and using the DocuCentre, clients agree to abide by the following terms and conditions. These terms govern the use of all documents, information, and services provided herein.
3. Acceptance of Terms By accessing the DocuCentre, clients acknowledge that they have read, understood, and agree to be bound by these terms and conditions. If they do not agree, they must refrain from using the DocuCentre.
4. Limitation of Liability The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the DocuCentre or any documents accessed. Clients agree to use the DocuCentre at their own risk.
5. Client Responsibility for Compliance Clients are responsible for ensuring that their use of the DocuCentre and any documents accessed comply with all applicable laws, regulations, and contractual obligations. The Company disclaims any responsibility for clients’ non-compliance.
6. No Implied Partnership or Agency Nothing in these terms shall be construed as creating an agency, partnership, or joint venture between the client and the Company. Clients do not have the authority to bind the Company in any respect.
7. Document Retention Policy The Company reserves the right to retain documents and records as required by law or internal policy, even after a client’s access to the DocuCentre has been terminated.
8. Acceptance of Electronic Transactions Clients acknowledge that their electronic communications and transactions through the DocuCentre may have legal consequences and that they intend to be bound by such electronic transactions in the same manner as written documents.
9. Severability Clause If any provision of these terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
10. Confidentiality and Privacy The Company respects the privacy of communications and will not disclose any personal information or communication details to third parties unless required by law or necessary for the performance of its obligations under these terms.
11. No Third-Party Beneficiaries These terms do not create any rights enforceable by any third party, and no third party shall have any rights or obligations under these terms.
12. Intellectual Property Rights All materials, documents, and content available in the DocuCentre are the intellectual property of the Company and are protected by copyright, trademark, and other intellectual property laws. Clients may not reproduce, distribute, or create derivative works without express written permission.
13. Mediation and Arbitration Clients agree that any disputes arising from the use of the DocuCentre or the documents accessed shall be resolved through mediation and, if necessary, binding arbitration. All mediation and arbitration sessions must take place in person in Lake Charles, Louisiana, at the client's expense.
14. Indemnification Clause Clients agree to indemnify and hold harmless the Company, its affiliates, employees, and agents from any claims, losses, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from their use of the DocuCentre or violation of these terms.
15. Non-Disparagement Agreement Clients agree not to make any disparaging or derogatory statements about the Company, its affiliates, or its services. This obligation survives the termination of these terms.
16. Conflicts of Law These terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles.
17. Client Agreement on Binding Nature Clients acknowledge that these terms are binding on them and their respective heirs, executors, administrators, and assigns. Clients agree that they will not assign or delegate their rights and obligations under these terms without prior written consent from the Company.
18. Claims Procedure Any claims arising from the use of the DocuCentre or the documents accessed must be submitted in writing to the Company within thirty (30) days of the occurrence of the event giving rise to the claim. Failure to provide timely notice may result in the claim being barred.
19. Continuous Improvement Clause The Company is committed to continuous improvement and may update its policies, procedures, and the content available in the DocuCentre from time to time. Clients will be notified of significant changes via appropriate communication channels.
20. Privacy Policy Compliance By using the DocuCentre, clients consent to the collection, use, and sharing of their information as described in the Company's Privacy Policy. Clients are encouraged to review this policy regularly.
21. Client Feedback and Suggestions Clients may provide feedback, comments, or suggestions regarding the DocuCentre or any associated services. The Company may use such feedback for any purpose without any obligation to the client, including the right to incorporate it into future developments.
22. Waiver of Jury Trial By agreeing to these terms, clients waive their right to a jury trial for any disputes arising from the use of the DocuCentre. All disputes shall be resolved through mediation or arbitration, as specified in these terms.
23. Force Majeure Exceptions The Company shall not be liable for any delays or failures in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, or governmental restrictions
24. Disclosure of Conflicts of Interest The Company may disclose potential conflicts of interest related to its business operations or services. Clients acknowledge that they have been informed of the possibility of such conflicts and that they may seek additional clarification if needed.
25. Limitation of Liability for External Links The Company is not responsible for any content or practices of third-party websites linked to from the DocuCentre. Clients access such external sites at their own risk and are encouraged to review the terms and privacy policies of those sites.
26. Assignment of Work Product Any work product, ideas, or feedback provided by clients during their interaction with the DocuCentre or the Company shall be deemed the property of the Company, and the client hereby assigns any rights to such work product to the Company.
27. Survival Clause All provisions of these terms that by their nature should survive termination, including but not limited to indemnity, limitation of liability, and dispute resolution, shall survive the termination of these terms.
28. Implied Acts Clause Clients acknowledge that any actions taken in relation to the DocuCentre or the Company shall be deemed as actions taken on behalf of the legal entity of Dreamscape Ventures, LLC, and not by its individual members or employees.
29. Disclaimer of Obligations The Company is not obligated to provide any documents or items unless required by law or explicitly stated in these terms. Clients acknowledge that any documents made available are for informational purposes only and do not constitute an obligation on the part of the Company to provide ongoing access or updates
